Using the Services requires registering a business account. You agree to:

• Be responsible for all activity on your account;
• Notify us immediately of any unauthorised use.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may temporarily suspend the service for maintenance, upgrades, or force majeure events, with advance notice where possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Syncalx shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the fees you have paid for the Services in the preceding 12 months.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of changes, and your continued use of the Services constitutes acceptance of the updated Terms.

11. Termination

Either party may terminate the service agreement with 30 days' written notice. In the event of a material breach, we may suspend or terminate your account immediately.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall first be resolved through good-faith negotiation; if unresolved, they shall be submitted to a court of competent jurisdiction in Delaware. For clients based in Hong Kong, the parties may agree in writing to apply Hong Kong law as the governing law.
